Terms of Service

1. Definitions

• "Platform" means the InfraPro web application, mobile application, and associated APIs accessible at infrapro.emeransystems.com and related subdomains.
• "Customer" means the organisation or individual that subscribes to InfraPro under a paid or trial plan.
• "User" means any individual who accesses the Platform under a Customer's account.
• "Customer Data" means all data, content, and information submitted to the Platform by the Customer or its Users.
• "Subscription" means the paid plan selected by the Customer as set out on our Pricing page.

2. Account Registration

To use InfraPro, you must register an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials and not share them with unauthorised persons.
• Notify us immediately at info@emeransystems.com if you suspect any unauthorised access to your account.
• Be responsible for all activities that occur under your account.

You must be at least 18 years of age and have authority to bind your organisation to these Terms in order to register.

3. Subscription and Payment

Plans and Billing

InfraPro is offered on subscription plans as described on our Pricing page. Subscriptions are billed monthly or annually in advance. Prices are quoted in USD unless otherwise stated.

Free Trial

We may offer a free trial period. At the end of the trial, your account will require a paid subscription to continue. We reserve the right to modify or discontinue trial offers at any time.

Payment

You authorise us to charge your designated payment method for all applicable subscription fees. If payment fails, we may suspend access to your account until payment is received.

Refunds

Subscription fees are non-refundable except where required by applicable law. If you cancel mid-period, your access continues until the end of the paid period.

Price Changes

We may change subscription pricing with 30 days' written notice. Continued use after the effective date constitutes acceptance of the new pricing.

4. Acceptable Use

You agree not to use InfraPro to:

• Violate any applicable law, regulation, or third-party rights.
• Upload or transmit malicious code, viruses, or harmful content.
• Attempt to gain unauthorised access to any part of the Platform or its infrastructure.
• Reverse-engineer, decompile, or attempt to extract the source code of the Platform.
• Resell, sublicense, or otherwise commercialise access to the Platform without our written consent.
• Use automated tools to scrape or extract data from the Platform in bulk.
• Interfere with or disrupt the integrity or performance of the Platform.

We reserve the right to suspend or terminate accounts that violate these provisions without prior notice.

5. Customer Data and Ownership

You retain full ownership of your Customer Data. By uploading data to InfraPro, you grant Emeran Systems a limited, non-exclusive licence to process that data solely for the purpose of providing the Platform services to you.

We do not sell your Customer Data to third parties. We access Customer Data only as necessary to provide support, perform maintenance, or as required by law.

Upon account termination, you may request an export of your Customer Data within 30 days. After 90 days from termination, we may delete your data in accordance with our Privacy Policy.

6. Intellectual Property

The InfraPro Platform — including its software, design, features, trademarks, and documentation — is owned by Emeran Systems Ltd and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Platform.

You may not copy, modify, distribute, or create derivative works of any part of the Platform without our prior written consent.

7. Availability and Uptime

We aim to provide high availability for InfraPro but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party infrastructure failures, or force majeure events.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the use of InfraPro. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Disclaimer of Warranties

InfraPro is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Platform will be error-free, secure, or meet your specific requirements. You use the Platform at your own risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Emeran Systems shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of InfraPro.

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Emeran Systems and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

Either party may terminate the subscription at any time. You may cancel through your account settings or by contacting us. We may terminate or suspend your account immediately if you breach these Terms or fail to pay applicable fees.

Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Kenya. Any disputes arising from these Terms or your use of InfraPro shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the jurisdiction of the courts of Nairobi, Kenya.

14. Changes to These Terms

We may revise these Terms from time to time. We will notify registered users of material changes by email at least 14 days before the changes take effect. Continued use of InfraPro after the effective date constitutes your acceptance of the revised Terms.
